Please note that the following is a translation. If there are any discrepancies between the English and Finnish versions of this Contract, the Finnish version is primary to the other versions.
The undersigned parties have concluded this Boat Rental Agreement ("Agreement").
1) The Parties and Friilo's Relationship to the Agreement
1.1) Boat Owner ("Owner"): (Owner's name)
1.2) Boat Renter ("Renter"): (Renter's name)
Hereinafter, the parties referred to in 1.1) – 1.2) are collectively called the "Parties."
Friilo.fi is not a party to this Agreement and is therefore not responsible for any matter related to this Agreement.
2) Subject of the Agreement
The Owner rents the boat (Boat's name) (Boat model) (Boat registration number) to the Renter.
3) Use of the Boat During the Rental Period
3.1) The Renter acts as the Captain of the boat throughout the Rental Period and must always be on board when the boat is in operation.
Only the Renter is permitted to operate the boat without separate permission. If the Renter wants someone else to have the right to operate the boat, this must be agreed upon in advance with the Owner. For clarity, in this case, the Renter still acts as the Captain and is responsible for the obligations of this Agreement.
3.2) The Renter is obligated to take care of the boat as carefully as a prudent person would with their own property and to use special care and caution when operating the boat. The Renter agrees to take into account the requirements set for the captain by maritime law and to comply with all applicable laws and regulations.
3.3) The boat must be locked when left unattended.
3.4) The boat is handed over to the Renter with the equipment listed in the equipment list and with a full fuel tank. When the Owner hands over the boat to the Renter, the Renter must check the condition of the boat together with the Owner to avoid disputes about the timing of any damage. Any damages to the boat must be documented in writing or otherwise in a verifiable manner before the boat is handed over. The Renter has the primary responsibility to inspect the boat, so if the documented inspection is neglected in whole or in part and a dispute arises after the rental period regarding the timing of the damage, it is presumed that the damage occurred during the rental period.
4) Insurance
The boat has valid boat insurance, which includes liability and damage insurance. The damage insurance follows the terms of boat hull insurance. The insurance does not cover personal injuries or damaged or lost movable property.
5) Fuel and Boat Maintenance During the Rental Period
The boat must use (fuel specified by the Owner). The Renter pays for the fuel they need. If the Renter uses fuel other than what is specified in this section and causes damage to the boat, they are responsible for that damage. During the rental period, the Renter is responsible for normal checks of the boat, such as engine oil level, coolant, bilge condition, and other similar matters. The Renter must also keep the boat clean during the rental period and clean it at the end of the rental period.
6) Renter's Rights and Rental Payment
6.1) With this Agreement, the Renter is granted the right to use the boat, the equipment and living supplies listed in the equipment list, and the boat insurance.
6.2) After making the reservation, the Renter receives a booking confirmation. At the time of reservation, a booking fee of 30% of the rental price defined in section 16.3) is charged. The remaining 70% of the rental price must be paid 30 days before the start of the rental period. If the rental period starts within 30 days of making the reservation, the Renter must pay the entire rental price at the time of reservation.
6.3) If required by the Owner, a security deposit at least equal to the Owner's insurance deductible (hereinafter "Security Deposit") is required for each separate damage event. The Renter agrees to pay for the damage they cause up to the amount of the Security Deposit if the boat is not returned in the same condition as it was at the time of handover. However, the Owner may not charge the Renter more than the actual cost of the damages.
6.4) If the cleanliness of the boat is not the same as at the time of handover, the Renter must pay the cleaning fee specified by the Owner, or at least €100 if no cleaning fee is specified. (hereinafter "Cleaning Fee"). The Cleaning Fee is not included in the Security Deposit defined in section 6.3), and it must be paid even if the Security Deposit is fully used for other damages and compensations.
6.5) If the Renter has not paid for the fuel used during the rental period and this has not been agreed upon with the Owner, the Renter must pay for the used fuel (hereinafter "Fuel Fee"). The Fuel Fee is not included in the Security Deposit defined in section 6.3), and it must be paid even if the Security Deposit is fully used for other damages and compensations.
6.6) If the boat is not returned in the same condition as it was at the time of handover, the Renter and the Owner can agree on possible compensations, security deposit, or other payments. Friilo will, upon request, pay the Owner up to the amount of the Security Deposit, Cleaning Fee, and Fuel Fee and invoice this amount, along with any service fee, from the Renter. In this case, the Owner must be able to prove to Friilo the damage that occurred during the rental period, the cost of repairing the damage, and that the Renter caused the damage through their actions.
7) Owner's Obligations When Handing Over the Boat to the Renter
The Owner must hand over the boat to the Renter in good condition and in compliance with the law. The Owner must follow the handover time and place defined in section 16.1). Additionally, the Owner is obligated to provide sufficient guidance and instructions on the use of the boat. The handover and guidance take place within the agreed rental period.
8) Returning the Boat
8.1) The return of the boat must follow the return time and place defined in section 16.2). The boat must be returned cleaned, with empty waste tanks, and with a full fuel tank.
8.2) If the Renter returns the boat before the return time defined in section 16.2), the unused time will not be refunded.
8.3) The Owner must check the boat upon return. The Owner must generally notify the Renter of any defects or damages within twenty-four (24) hours of the return. If the Owner cannot check the boat and notify of any damage within this time frame, they must inform the Renter and Friilos's customer service, stating when the boat can be checked. The inspection must always take place before the boat is next used.
9) Renter's Actions in Case of Defects, Damage, or Theft
9.1) The Renter must immediately notify the Owner of any defects in the boat or damage or theft of the boat. In case of theft, a police report must be filed promptly. The Owner will then inform the Renter of the necessary actions to be taken as a result of the incident.
9.2) In case of damage, the Renter must immediately take the necessary actions required by the insurance terms to ascertain the damage and prevent further damage. A police report must always be filed in case of personal injury.
9.3) If the Renter fails to make the above notifications, they are responsible for any resulting damage to the Owner.
10) Renter's Liability to the Owner
10.1) For each damage event, the Renter is liable to pay up to the Security Deposit specified in the Agreement: (i) for damages to the boat and its equipment during the rental period; and (ii) for any parts and equipment lost from the boat during the rental period. For clarity, any Cleaning Fee and Fuel Fee are paid separately and are not included in the Security Deposit.
10.2) If the damage to the boat or the Owner is caused by: (i) the Renter's intentional or gross negligence; (ii) operating the boat under the influence of alcohol or other intoxicants or for a criminal purpose; or (iii) otherwise materially breaching the terms of this Agreement, the Renter is liable to compensate the Owner for the entire damage.
10.3) If the Renter fails to comply with the obligations defined in section 8.1), the Owner has the right to charge the Renter for all costs incurred from the non-compliance.
10.4) The Renter is released from liability if the Owner receives full compensation for the damage from the insurance or the party causing the damage.
11) Owner's Liability to the Renter
11.1) If during the rental period a technical fault or other defect appears in the boat that is not due to the Renter's negligence, the Renter can request that the defect be corrected. The Owner must correct the defect within a reasonable time. The Renter has the right to demand a rent reduction for the time taken to repair the defect. If the defect due to the boat's condition is significant, the Renter can also demand the termination of this Agreement according to section 12.3).
11.2) If the Renter cannot use the boat as per the Agreement due to the Owner's fault, the Renter can demand that the Owner fulfill the Agreement and provide a rent reduction corresponding to the defect. Upon receiving the Renter's demand, the Owner must hand over the boat promptly. The Renter has the right to terminate the Agreement according to section 12.3) if the defect is not corrected promptly.
11.3) If the Owner has sold the boat to another person before the rental, and the Renter cannot use the boat because of this, the Owner must fully compensate the Renter for the rental fee and any other verifiable expenses related to the rental.
12) Early Termination of the Agreement
12.1) The Owner can terminate this Agreement immediately if the Renter materially breaches the terms of this Agreement or is not fit to act as the boat's captain.
12.2) The Renter can terminate this Agreement immediately if it becomes evident that the Owner will breach this Agreement.
12.3) If the Owner or the Renter terminates the Agreement during the rental period for reasons not due to the other party's breach, the rental fee is determined as follows:
If the Agreement is terminated before the rental period starts, the paid fees will be refunded.
If the Agreement is terminated within 48 hours of the start of the rental period, 50% of the rental fee is refunded.
If the Agreement is terminated more than 48 hours after the start of the rental period, no fees are refunded.
13) Owner's Rights to Transfer the Boat
The Owner has the right to transfer the boat to another person during the rental period. The new owner must comply with the terms of this Agreement. The Renter must be notified immediately if the boat's owner changes.
14) Force Majeure
14.1) Force Majeure events release the Parties from their obligations under this Agreement. These events include natural disasters, war, strikes, government orders, and other events that the Parties could not foresee and cannot influence.
14.2) If the Renter cannot use the boat due to Force Majeure, the Renter is not entitled to a rent reduction or compensation for other expenses.
15) Dispute Resolution
15.1) This Agreement is governed by Finnish law.
15.2) Any disputes arising from this Agreement will be resolved in the District Court of Helsinki.
